  1. THE PARTIES / OVERVIEW
    1. These Terms and Conditions are effective immediately and shall apply exclusively to the business relationship
      • BETWEEN: HappyBid (and its internet platform HappyBid.co.uk)
      • AND: The Website User or visitor, either registered or otherwise.
    2. Acceptance of these Terms and Conditions in full is a condition precedent to User registration on Our Website. Further, Users or visitors to The Website agree to be bound immediately by these Terms and Conditions, along with the manner in which The Website and its Auctions operate (as described herein and on The Website).
    3. Variations or alterations to these Terms and Conditions shall only be binding if expressly agreed in writing by Us.
  2. DEFINITIONS
    ACCOUNT
    means the area in which coins are stored for use on The Website.
    ACCOUNT BALANCE
    is the total amount coins in Your Account at any time.
    AUCTION
    means the format used by The Website in order to determine the Winner.
    BID
    means an amount that a User has entered or intends to enter into the Auction for a specific Item.
    BID PRICE
    means the amount of Coins in Your Account Balance that it costs in order to place a Bid.
    BID RANGE
    means the upper and lower extremes that a User may Bid on a specific Auction. The lower extreme is almost always £0.01.
     
    BIDDER
    means the User that has placed or intends to place a Bid.
    COIN BALANCE
    means the amount of Your Account Balance; Your Coin Balance cannot be withdrawn from Your Account.
    CREDIT
    means Coin or Coins.
    CURRENT LEADER
    means the Bidder who has placed the lowest Unique Bid at a given time.
    GAME
    means the same as Auction (see above)
    ITEM
    means the product(s) or other worthy inventory that is the focus of a specific Auction.
    MY ACCOUNT
    means the area of The Website that allows You to monitor Your Account and Your personal details.
    NON-UNIQUE BID
    means a Bid that has been placed on a specific Auction by a Bidder where at least one other Bidder has also placed an identical Bid on the same Auction.
    RRP (Recommended Retail Price)
    means the manufacturer’s recommended retail price for a specific Item within Our Auctions.
    UNIQUE BID
    means a Bid that has been placed on a specific Auction by a Bidder where no other Bidder has placed an identical Bid on the same Auction.
    US, WE, OUR, HAPPYBID
    or similar all mean HappyBid.
    THE WEBSITE, OUR WEBSITE, THE SITE or THE WEBSITE
    or similar all mean The Website at happybid.co.uk.
    WIN or WON
    means Winning the Auction by placing the lowest Unique Bid on a specific Auction.
    YOU, YOUR, USER
    or similar all mean The Website visitors or Users, either registered or otherwise.
  3. ELIGIBILITY TO PARTICIPATE OR REGISTER WITH HAPPYBID
    1. By using Our Website and/or registering on Our Website and creating an Account, You confirm that:
      1. You are legally capable of entering into binding legal contracts;
      2. You are at least 16 years old. You may be required to provide proof of Your age at such time as You Win an Auction on Our Website or at any other time as We deem necessary;
      3. You are able to make payments to Us using PayPal either by using a PayPal Account or by using the credit/debit card processing service offered by PayPal via Our Website;
      4. You are resident in the United Kingdom;
      5. You are accessing Our Website from within the United Kingdom;
      6. You are not an employee of HappyBid;
      7. You are participating as an individual only and not as part of a commercial or reseller organisation;
      8. You have a valid telephone number (landline or mobile telephone numbers are accepted) and You have provided it during registration.
    2. Only one User Account is permitted per person and per telephone number. At the time of a User Winning an Auction, or at any other time that We deem necessary, We may contact the User by the registered telephone number. We will only dispatch the Item(s) that have been Won as and when We are satisfied that the registered telephone number belongs to the registered User. We may ask that the User confirms certain Account details over the telephone in order to confirm this.
    3. User Accounts are non-transferable. The User is responsible for keeping their password secret and You may not share Your password with anyone else or allow them to use Your Account for any purpose. Any abuse of the User Account, be it detrimental to Us or to third parties, shall result in the disqualification of the User and may lead to Us reporting any crime that may have been committed. In general, We hold the User to whom the Account belongs responsible for any activities that are undertaken using the User Account in association with the registered password. We accept no liability whatsoever for any losses incurred or caused by any unauthorised use of Your User Account.
    4. We reserve the right to terminate any User Account on Our Website at Our sole discretion. In general, We will only take these actions if, in Our reasonable opinion, a User has:
      1. violated any laws or the rights of third parties;
      2. failed to honour payments due to Us;
      3. used or attempted to use any unauthorised third party Bidding software;
      4. used false or misleading information during registration or amendment of their details;
      5. collaborated or attempted to collaborate with other Users in an attempt to increase the chance of Winning (in this instance collaboration also means a User creating more than one User Account);
      6. created an Account despite being an employee of ours;
      7. set up or attempted to set up multiple User Accounts.
    5. Where a User Account is terminated due to a breach of these Terms and Conditions, We reserve the right to set off any amounts incurred as direct or indirect loss and/or expense by Us investigating the alleged breach prior to returning any Cash Account Balance back to the User.
    6. Where a User Account is suspended due to an investigation into their Account and activities, We reserve the right to freeze all activities on their Account, including but not limited to; adding or withdrawing funds; placing Bids; and, claiming Won Items. Where a suspended Account is subsequently reinstated, any Won Items will then be awarded to the User. Where the Account is subsequently terminated, the User will not be entitled to any Won Items and will not receive any refunds for the Bids placed during any of the Auctions.
  4. WRITTEN COMMUNICATIONS / NOTICES
    1. We are required by law in some cases that certain communications from Us to You need to be in written form. You agree and accept that in most cases communication from Us to You shall be electronic, in the form of emails or notices on Our Website. You agree that these electronic means of communication comply fully with any legal requirement that such communications be in writing and that any contracts, notices and other communications that We provide to You electronically constitute legal written communication.
    2. Any notices or communications that You require to be issued to Us must be sent via email to ‘mail(at)HappyBid(dot)co(dot)uk’ [replace the (dot) with a ‘.’ and the (at) with a ‘@’] and detail Your registered name, address and telephone number. Where a User is unable to issue a notice to this email address, it would be acceptable to issue any such notice to Our address which can be found on our contact page.
    3. We may issue any notice to You via the email or postal address that You provide to Us when registering and notice will be deemed received and properly served two days after an email is sent or three days after the date of posting any letter. Further, You agree that in proving the service of any notice, it will be sufficient to prove that, in the case of a letter, that such letter was properly addressed, stamped and placed in the post and, in the case of an email, that such email was sent to the email address provided by the User at registration or amended at some time since registration.
    4. By signing up to HappyBid you agree to join our mailing list so we can email you from time to time regarding our latest offers, auction reminders and general information. This includes but is not limited to, information on auctions you have bid on, free coin offers and HappyBid offers.
    5. HappyBid may share your information with sponsors of the auctions you have bid on, this includes but is not limited to, name, email & phone number.
  5. YOUR ACCOUNT MANAGEMENT AND FUNDING
    1. After registration You will have the ability to buy coins for Your Account to use when paying the Bid Price on Our Website Auctions.
    2. Where a chargeback or similar event has removed an original payment from the User’s Account, any Bids placed by the User after the time of such chargeback or similar event will not be valid and no refunds will be issued for any Bids placed in any Auction by the User that has been subject to the chargeback or similar event. We also reserve the right to charge a fee for the returned payment where We have incurred costs in dealing with the event, block the User’s Account, and to withhold the delivery of any Won Items until the payment of all outstanding invoice amounts, including any fees, have been received in full and cleared.
    3. Your Coin Balance may only be used to pay the Bid Price for Bids You place. In the event of a Win, You may only pay for the Item that has been by direct payment to Us, not from Your Coin Balance.
    4. We may also block access to Your Account and / or amend a User’s Account Balance if We have reason to suspect fraudulent behaviour or a breach of these Terms and Conditions. Where We reasonably believe that a User has intentionally exploited any of Our offers or Our Website in general, We reserve the right to remove all of the User’s Credit Balance and charge the User directly for any Bids that have been placed in breach of these terms.
    5. Any fees or charges that We impose as a result of fraudulent activity, chargeback events or any other serious breach of these Terms and Conditions will become recoverable as a debt where the User does not make payment within 28 days of the invoice being served.
    6. We reserve the right to close any Account that has been inactive for a period not less than 12 months; any Balance in Your Account at such time will be forfeited by You. In the event that this is the case, You acknowledge and agree that We will be entitled to remove any funds or Balance in Your Account and close Your Account without prior notice. We will normally contact You via the registered email address and / or postal address to advise You of inactivity on your Account around 4 weeks prior to closing Your Account, in order to provide you with the opportunity to use up any Coins, however such advice is not a requirement to Us closing Your Account.
    7. Coins are valid for one year from purchase. After this time they will expire from your account.
  6. OFFERS AND PROMOTIONS
    1. Any offers and / or promotions run by Us shall only be valid if they are announced by Us. Any such announcement may be made via The Website, via Our newsletter / promotional emails or via Our affiliates. Any offers or promotions announced via Our affiliates are for information only and may no longer be valid upon visiting the site.
    2. Certain promotions or offers may be valid for a limited time; for a limited number of Users; or for certain Auctions. Once the advertised time; number of Users; or certain Auction(s) have expired, the offer or promotion will no longer be valid.
    3. We reserve the right to remove any offer or promotion at any time without prior notice for any reason that We deem necessary, at Our sole discretion.
  7. BIDDING METHODS (SINGLE AND MULTIPLE BIDS)
    1. To place a Bid on Our Website, You must first buy Coins.
    2. You may place Your Bids via two different methods on Our Website, these are:
      1. Single Bids – by entering the amount that You would like to Bid into the box on the Auction page and clicking on the Bid Button. You confirm that You accept the Bid Price amount for the Bid. Your Bid will be entered into the Auction.
      2. Multiple Bids – by entering the amount that You would like to Bid into the from and to boxes, You will be charged for each Bid You place at the advertised Bid Price. For example, if You place 5 Bids in a single transaction You will be charged 5 times the Bid Price.
    3. All Bids placed are valid only if all payments used to credit the User’s Account have been successful and no chargeback has been invoked by Our payment gateway. We reserve the right to cancel or remove a User’s Bids at Our sole discretion if We believe that the User has acted fraudulently or is in breach of these Terms and Conditions.
    4. All Bids are final and no refunds will be issued for Bid Prices paid by You unless the Auction is terminated by Us. Your statutory rights are not affected by this term.
  8. HOW AUCTIONS WITH HAPPYBID WORK
    1. Auctions on Our Website follow a very simple structure and in order to provide You with the knowledge required to apply skill and judgement in the Auctions, We provide You with the following data for each and every Auction on Our Website:
      1. The Item’s RRP – this information is provided to the best of Our knowledge and is usually provided by the manufacturer of each Item. We cannot guarantee that the RRP is correct but will always use Our best endeavours to ensure that the RRP is as accurate as possible.
      2. The Bid Price – this is the amount it will cost You, in Coins, to place a Bid for the Item. The Bid Price varies between each of the Auctions, so check this amount prior to placing each Bid to ensure that You are comfortable with the Bid Price.
    2. A Unique Bid is deemed to be a Bid that is the only Bid placed for a specific amount within a specific Auction. If a further Bid is placed by another User for the exact same amount, then both Bids are deemed to be no longer Unique (they both become Non-Unique Bids).
    3. In the event that there is no Unique Bid in the Auction when it closes, the auction will be reopened for a futher 10 bids, this will continue until a winner is produced.
    4. For an Auction to close the Bids Remaining must be 0. An Auction is initially created by Us with a defined amount of Bids Remaining.
    5. Upon completion of an Auction, the Winning User will receive confirmation of their Win by email. Refer to section 9 for full details of the checking procedure for Auction Winners. The auction will then reveal all of the Bid amounts placed in the Auction in an anonymous format so that Users will be able to see how their Bids performed and learn from the patterns within the Auction for next time, these will remain available until we decide to remove the closed auction.
    6. We reserve the right to:
      1. Suspend or terminate an Auction at any time in the event of technical problems or to investigate suspected irregular or fraudulent activity;
      2. Limit the Auctions that You may participate in (this is generally only for Our beginner or free Bid Auctions).
      3. Change the item of an auction if we feel our users do not have sufficent interest in the product and it will take too long to come to an end. We will only replace the item with something of equal or greater value however and therefor all bids made so far will stand.
      4. Remove an auction if we feel it does not benefit our users and has not had sufficent interest. In this case all bids will be recredited to the users accounts who placed bids.
    7. Further information about how the Auctions work in a simpler guide can be found in the How It Works sections of Our Website.
    8. For the avoidance of doubt, any advice or help articles appearing on Our Website are intended solely as suggestions for techniques and should not be construed as providing a solution to Winning any specific Auction. We accept no liability whatsoever for any actions taken by a User as a result of reading, or being informed about, any of the advice or written materials available on Our Website.
    9. The winner will pay HappyBid their winning bid, if the winning bid is less than £0.50 the winner does not need to pay the winning bid amount.
    10. Guaranteed Winner Auctions end at a set date and time or when the bids remain counter hits 0, whichever occurs first.
  9. CONFIRMATION OF THE WINNER’S DETAILS
    1. It is a condition precedent to formation of a Contract between the Winning User and Us that the telephone number held by Us at the time of Winning the Auction is valid and that the User can be reached by calling it. In the event that the telephone number is not correct, the Contract cannot be formed and the Win will be forfeited.
    2. Upon completion of an Auction, the Winner will be required to confirm their registered telephone number by receiving a text from Us. We will attempt to call or text the Winner’s registered telephone number within 2 working days of the Auction ending and may request that the User confirms some details from their Account in order to verify the User. In the event that the telephone number on file has voicemail, We will leave a message requesting that the User returns Our call to verify their Account. Alternatively, the Winner may call or email Us to request a call back. In any event, the only acceptable methods of verification is for Us to call and/or text You on the telephone number that You have provided as part of Your User Account details.
    3. The Winner will have 14 days to confirm to HappyBid their information, if the Winner does not confirm within this time period HappyBid will presume the User does not want the prize and it will be forfeited by the User.
  10. DELIVERY
    1. We deliver the Item Won free of charge within mainland UK unless otherwise stated. Specific details are available by contacting Us. Certain Items may not be delivered free of charge due to the practicalities, for example an Auction for a car may not be delivered to the Winner. In these cases We may, at Our sole discretion, pay for Your travel expenses to collect the Item Won either from Us or from Our supplier.
    2. Items that have been Won on Our Website will normally be dispatched to the Winner within 3 working days of Contract formation and payment of the Auction ending price by the User. In exceptional circumstances We may be unable to honour this timescale and the dispatch may be slightly later, We will always contact the Winner to inform them of any delays to the delivery.
    3. You will receive a dispatch confirmation via email to the registered email address when the Item has been dispatched. We may at Our sole discretion choose to use a courier or parcel delivery service that utilises a parcel tracking facility, where this is the case, You will also receive the courier’s details and the parcel tracking number in Your dispatch email. Tracking is provided purely in accordance with the courier’s own Terms and Conditions which may be found on the courier’s Website.
    4. We may, at Our sole discretion, offer the Winner the opportunity to customise their Item before they receive it. For example if a User Wins a car through Our Website, We would normally allow the User to choose the colour and other free options; We may also allow the User to add other optional extras to the car at the User’s own expense prior to ordering the car. Whilst this provides a better value product to the User, the above delivery timescales cannot be honoured for such Items. Further, the User agrees that any delivery period(s) quoted by Our suppliers in such cases would be acceptable to the User.
    5. In some rare cases the item we auction may be out of stock with our supplier, if we cannot obtain stock we will either offer the winner an alternative item or a cash payment to their PayPal account to the RRP value of the auction.
    6. Any dispatch or delivery times quoted are estimates only and We cannot guarantee any exact dates or delivery timescales in any way. You agree that any delays to delivery imposed upon Us by Our couriers or the like are out of Our control, and that such delays would be acceptable to You.
    7. Any Items that have been damaged during transport or packaging that is damaged upon delivery must be reported to Us within one working day of receiving the delivery. Failure to do so will waive any rights You may have to claim for replacement of a damaged Item.
  11. RETURNS AND CANCELLATIONS / CONSUMER RIGHTS
    1. The Items that are the subject of Auctions on Our Website vary hugely; for this reason We are unable to offer a standard period within which You may return a faulty Item. Our policy is therefore to assess each Item on an individual basis and apply a ‘reasonable time’ principle in accordance with English Law. If We determine that Your Item has developed a fault within what We consider to be a reasonable time, We will arrange for the Item to be collected from You at Our expense and a repaired or replacement Item will be returned to You within a reasonable time, again at Our expense. Where We are unable to provide a repaired or replacement Item, We reserve the right to issue a full refund of the purchase price, which will constitute full consideration for the Item. Where the Item appears to have been the subject of abuse, accidental damage or misuse We reserve the right to refuse to provide a repaired or replacement Item and to charge You for the cost of Us collecting the Item from You and returning the Item to You. For Items which store data, it is Your responsibility to backup Your own data prior to the Item being returned; any repaired or replacement Item will be returned to You without any of Your personal data or files installed on same. We do not offer a data recovery service of any type.
    2. Media Items are not covered by the return policy above where they have been opened or have had their seal broken. Media Items will only be eligible for return in exchange for a replacement product if they are found to be faulty. For the purposes of these Terms and Conditions, ‘Media Items’ include without limitation; audio products, video products; computer software or any similarly licensed Item. Box sets or sets of any sort may only be returned in their entirety; partial refunds for individual components from within a full set will not be issued.
    3. Any refunds due to You will usually be paid by PayPal, made payable to the Account holder the user has purchased Coins from.
    4. You may cancel your Account with us at anytime by writing to us, in doing so any coins used will not be refunded but coins unused may be refunded at our discretion, minus any PayPal fees incurred by us. By cancelling your account you lose your right to win any items on HappyBid.
    5. Your statutory rights are not affected by this section of these Terms and Conditions.
  12. SETTING OFF / WITHHOLDING PAYMENT / RETENTION OF TITLE
    1. In the case of an outstanding payment of any kind and / or chargeback against the User, any Items delivered to the User will remain the property of HappyBid until such time as the amounts owed to Us are paid in full. During this time, You undertake to store the Item separately from Your other possessions and not take beneficial use of the Item until such time as the payment has been received and cleared in full.
  13. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY REGARDING THE USE OF HAPPYBID
    1. The User expressly agrees that the use of HappyBid is at User's sole risk. Neither HappyBid, its affiliates nor any of their respective employees, agents, third party content providers or licensors warrant that HappyBid will be uninterrupted or error free; nor do they make any warranty as to the results that may be obtained from the use of HappyBid, or as to the accuracy, reliability or content of any information, service, or merchandise provided through HappyBid.
    2. HappyBid is provided on an "as is" basis; to the maximum extent permitted by law, HappyBid disclaims all representations and warranties, expressed or implied, with respect to any information, services, products and materials, including, but not limited to, warranties of merchantability or fitness for a particular purpose, title, non-infringement, freedom from computer virus and implied warranties arising from course of dealing or course of performance. In addition, HappyBid does not represent or warrant that the information accessible via the site is accurate, complete or current. We are not responsible for typographical errors.
    3. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorised access to, alteration of, or use of record, whether for breach of Contract, tortious behavior, negligence, or under any other cause of action. The User specifically acknowledges that HappyBid is not liable for the defamatory, offensive or illegal conduct of other Users or third-parties and that the risk of injury from the foregoing rests entirely with the User.
    4. In no event will HappyBid, or any person or entity involved in the use of a HappyBid Auction, be liable for any damages, including, without limitation, direct, indirect, incidental, special, consequential or punitive damages arising out of the use of or inability to use HappyBid. The User hereby acknowledges that the provisions of this section shall apply to all content on The Website.
    5. In addition to the Terms set forth above neither, HappyBid, nor its affiliates, information providers or content partners shall be liable regardless of the cause or duration, for any errors, inaccuracies, omissions, or other defects in, or untimeliness or unauthenticity of, the information contained on Our Website, or for any delay or interruption in the transmission thereof to the User, or for any claims or losses arising therefrom or occasioned thereby. None of the foregoing parties shall be liable for any third-party claims or losses of any nature, including, but not limited to, lost profits, punitive or consequential damages. Neither, HappyBid, nor its affiliates, information providers or content partners warrant or guarantee the timeliness, sequence, accuracy or completeness of this information. Additionally, there are no warranties as to the results obtained from the use of the information.
    6. With regards to the Auction process and / or other elements of Our Website, We will not be liable for; any losses arising from Your negligence; any failure to follow Our instructions as to placing Bids; any use of websites linked to Our Website but not operated by Us; any loss or damage due to viruses or other malicious software that may infect Your computer equipment, software, data or other property caused by You accessing, using or downloading from Our Website, or from transmissions via emails or attachments received from Us; faulty operations of computers during Bid placement and / or for incorrect or overly slow transmission of Bidding data by the internet provider and / or any damage that occurs due to Bids submitted by You not being received by Us or not being received promptly or not being considered, as a consequence of technical faults with Our software or hardware (whether same are within Our control or otherwise).
    7. Whilst every effort is made to ensure that due care is exercised in handling credit/debit card information by Our payment gateway, We will not be liable for any compromise, misuse of information or breach of security by Our payment gateway.
    8. We accept no liability for any indirect losses howsoever caused including without limitation; loss of income or revenue; loss of business; loss of profits or future contracts; loss of anticipated savings; loss of data; or waste of management or office time or space whether caused by tort, negligence, breach of Contract or otherwise, even if foreseeable.
    9. For the avoidance of doubt, the above provisions do not in any way limit Our liability; for death or personal injury caused by Our negligence; under section 2(3) of the Consumer Protection Act 1987; for fraud or fraudulent misrepresentation; or for any matter for which it would be illegal for Us to exclude, or attempt to exclude, Our liability.
  14. DISCLAIMER OF WARRANTY AND LIMITATION OF LIABILITY REGARDING ITEMS PURCHASED FROM HAPPYBID
    1. We warrant to You that all of the Items purchased from Us through Our Website are of satisfactory quality and reasonably fit for all of the purposes for which the Items of that kind are commonly supplied.
    2. All Items are sold with the manufacturer’s limited warranty only. However, We may at Our sole discretion apply the policy described in section 11 during the reasonable time explained within same.
    3. With the exception of the warranties set forth above, HappyBid makes no other warranties, either expressed or implied, with respect to the Items, or any related services performed by HappyBid or any of its agents or subcontractors in connection with any order, including, without limitation, any warranties of fitness for a particular purpose, which other warranties are expressly excluded and disclaimed.
    4. HappyBid shall not be liable for personal injury and property damage resulting from the improper handling, modification, misuse of the Items by the User or any other person following delivery by HappyBid. In no event shall HappyBid be liable to any person for incidental or consequential damages including but not limited to loss of profits or goodwill, loss-of-use damages or additional expenses incurred, whether pursuant to a claim in Contract, tort or otherwise and whether in an action for breach of warranty or otherwise.
    5. We accept no liability for any indirect losses howsoever caused including without limitation; loss of income or revenue; loss of business; loss of profits or future contracts; loss of anticipated savings; loss of data; or waste of management or office time or space whether caused by tort, negligence, breach of Contract or otherwise, even if foreseeable.
    6. For the avoidance of doubt, the above provisions do not in any way limit Our liability; for death or personal injury caused by Our negligence; under section 2(3) of the Consumer Protection Act 1987; for fraud or fraudulent misrepresentation; or for any matter for which it would be illegal for Us to exclude, or attempt to exclude, Our liability.
  15. SYSTEM OUTAGES / SERVICE AVAILABILITY / TEMPORARILY SUSPENDED AUCTIONS
    1. We endeavour to provide an efficient and error-free platform in Our Website for You to participate in the Bidding process. However, it is not possible to develop and operate computer programs (software) and data processing systems (hardware) completely without errors, or to rule out any unpredictable events in connection with the internet (hereinafter referred to collectively as “technical faults”). We therefore provide no guarantee or warranty for the constant and uninterrupted availability of Our Website and other systems. In addition We accept no liability for any damage that occurs due to Bids submitted by Users not being received by Us or not being received promptly or not being considered, as a consequence of technical faults.
    2. Auctions may be temporarily suspended in the event of technical faults until such time as the issue has been resolved, such events are called ‘System Outages’. In the event that this occurs We will use Our best endeavours to return to normal service as quickly as possible; during the period of the technical fault, all Auctions may be suspended and will resume upon rectification of the fault.
